ITERNAL TECHNOLOGIES TRIAL AND PROMOTIONAL SOFTWARE END USER LICENSE AGREEMENT ("Trial EULA")

Acceptance
BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING ANY ITERNAL TRIAL OR PROMOTIONAL SOFTWARE ("YOU" OR "CUSTOMER"), YOU ACCEPT AND ARE BOUND BY THIS TRIAL EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE. THIS IS A BINDING LEGAL AGREEMENT.
Acceptance is effected by clicking "I Agree" on the Iternal download page or by downloading, installing, or using the Software. See §8.8 (Click-Wrap Binding).
This Trial EULA is a standalone agreement. Unlike the Iternal paid End User License Agreement, it does not incorporate, and does not require You to have entered into, the Iternal Technologies, Inc. Master Relationship Agreement ("MRA"). Every provision necessary to govern Your trial or promotional use of the Software is set out in full within this document..
§1 — Definitions
Capitalized terms have the meanings set out below. No term in this Trial EULA is defined by cross-reference to the MRA or any other external agreement.

Offers are further governed by the Iternal Offer Terms and Conditions. |

Analytics Data expressly excludes the content of any user prompt, AI-generated response, conversation, or document processed by the Software. |

§2 — License Grant and Use Restrictions
2.1 Trial License Grant
Subject to the terms of this Trial EULA, Iternal grants You a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, in object-code form only, during the Trial Period, on up to the number of Licensed Installs, solely for Your internal business evaluation purposes.
2.2 Device-Specific License; No Transfer
Your license to use the Software is specific to the Licensed Installs on which it is installed. You may not install, move, or transfer the Software beyond Your Licensed Installs, nor transfer the license or assign any rights to the license, without Iternal's prior written consent. Your trial license is associated with a specific Dell Service Tag. No transfer of license to a different Dell Service Tag is permitted without Iternal's prior written consent.
2.3 Authorized Installs
You may install the Software only up to the number of Licensed Installs specified in Your activation license. You shall not distribute or share the trial installer file with any individual or entity outside Your organization. Distribution through Iternal-authorized channels (Dell Technologies or authorized reseller partners) is not restricted by this clause.
2.4 Right to Audit
Iternal reserves the right (itself or through its representatives) to reasonably audit Your use of the Software to ensure compliance with this Trial EULA, including verifying the number of Licensed Installs and the associated Dell Service Tag. Any such audit shall be conducted as permitted by applicable law and during normal business hours with reasonable prior notice.
2.5 No Reverse Engineering or Modification
You shall not, nor permit any third party to:
(a) reverse engineer, decompile, disassemble, decrypt, derive source code from, or otherwise attempt to reconstruct or discover any underlying ideas, algorithms, file formats, or programming interfaces of the Software;
(b) modify, translate, adapt, or create derivative works based on the Software; or
(c) access the Software in order to build or enable a competitive product or service.
2.6 Open Source Large Language Model Licenses
The Software may utilize or interface with one or more open source large language models ("LLMs"). You acknowledge and agree that You are solely responsible for obtaining and complying with all required licenses governing any open source LLMs used in conjunction with or accessed via the Software, including without limitation the Meta LLaMA 3 license (see /Licenses/LLAMA3 license.txt) and the OpenVINO license (see /Licenses/OpenVINO License.txt), each of which is incorporated by reference and available in the Software installation directory.
2.7 Responsibility for Data Accuracy
The Software may generate or process information that can be incomplete, outdated, or factually incorrect due to the use of LLMs. You and Your users are fully responsible for verifying the confidentiality, quality, accuracy, relevancy, and completeness of any data that is input into or output by the Software and confirming the correctness or reliability of any such data. LLM-generated output may contain errors; You are solely responsible for verifying accuracy before reliance.
2.8 No Sharing Outside Company
You shall not share, distribute, or reproduce the Software's installer file or related documentation with third parties outside Your company. You shall maintain strict control over the Software to ensure it is used only within Your authorized user group. Distribution through Iternal-authorized channels (Dell Technologies or authorized reseller partners) is permitted and is not restricted by this clause.
2.9 Feedback
Any feedback, ideas, or suggestions You provide regarding the Software ("Feedback") may be used by Iternal without restriction, attribution, or compensation. You grant Iternal an irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use Feedback in any manner and for any purpose.
2.10 Analytics and Telemetry
2.10.1 Trial Analytics. During the Trial Period, as a condition of the free-of-charge license grant, Iternal will collect Analytics Data from Your installation of the Software. This collection is automated, cannot be opted out of during the Trial Period, and is a material basis for the zero-fee license. By accepting this Trial EULA, You expressly consent to this collection.
2.10.2 Analytics Data Defined. Analytics Data includes: (a) Activation Date and activation metadata; (b) the Dell Service Tag associated with the installation; (c) session frequency and duration; (d) feature-interaction events (e.g., which features are used, not the content of prompts); (e) Software version and update channel; and (f) operating-system version and hardware class. Analytics Data expressly excludes the content of any user prompt, AI-generated response, conversation, or document processed by the Software.
2.10.3 Paid License Analytics. Upon Your conversion to a paid Iternal license, telemetry collection ceases automatically and by default. You may opt into analytics collection via the in-app settings in the paid version of the Software.
2.10.4 Retention. Analytics Data collected during the Trial Period is retained for ninety (90) days following the end of the Trial Period and is deleted upon Your conversion to a paid license, unless You have affirmatively opted into analytics collection under §2.10.3.
2.10.5 Cross-Reference. Full data-handling terms, GDPR/CCPA rights, and data-sharing disclosures are set forth in the Privacy and Data Sharing Addendum, which is incorporated into this Trial EULA by reference.
§3 — Trial Lifecycle
3.1 Trial Clock Start
The Trial Period begins on the Activation Date and runs for the number of days specified in Your activation license (default: 180 days). The trial clock is not paused, reset, or extended by non-use. Iternal does not warrant any specific Trial Period length beyond what is specified in Your activation license.
3.2 No Updates; No Support Entitlement
Trial and promotional licenses are not entitled to: (a) Software Updates; (b) technical support (including email, phone, or chat support); or (c) access to the Iternal support portal or ticketing system. Iternal may, at its sole discretion, provide limited trial assistance, but doing so does not create any support obligation. Any support inquiries from trial users will be responded to on an ad-hoc basis without any service-level (SLA) commitment.
3.3 Expiry Warnings
Iternal will use reasonable efforts to notify You of upcoming Trial Period expiration via in-app notifications at approximately 14, 7, 3, 2, and 1 days before expiry, and via operating-system-level notifications where the Iternal notification companion is installed. These notifications are informational only; failure to deliver any notification does not extend the Trial Period.
3.4 Automatic Expiry and Hard Lock
At the end of the Trial Period: (a) this Trial EULA automatically self-terminates without notice; (b) the Software ceases to function ("hard lock") and will require a valid paid license key to reactivate; and (c) Your data created in the Software remains on Your Device and is not deleted by Iternal — access to that data requires converting to a paid license or manually exporting it before expiry.
3.5 Paid Conversion
Upon purchase of a valid paid Iternal license: (a) You will receive a license key that unlocks the paid version of the Software; (b) Your trial data may be migrated to the paid installation via the in-app data-import feature; (c) trial Analytics Data collection ceases per §2.10.3; and (d) support entitlements begin per the applicable paid license terms.
§4 — Proprietary Rights and Confidentiality
4.1 Reservation of Rights
Except for the rights expressly granted herein, Iternal and its third-party licensors reserve all rights, title, and interest in and to the Software, including any intellectual-property rights. No rights are granted by implication or estoppel.
4.2 Confidential Information
The Software, related documentation, and any proprietary information provided under this Trial EULA are Iternal's Confidential Information. You agree to: (a) use Confidential Information only as permitted by this Trial EULA; (b) protect it with at least the same degree of care You use for Your own confidential information, and in no event less than reasonable care; and (c) not disclose it to third parties without Iternal's prior written consent.
§5 — Warranty Disclaimer (Trial)
5.1 No Warranty for Trial
TRIAL AND PROMOTIONAL LICENSES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTY OF ANY KIND. THE THIRTY (30) DAY LIMITED WARRANTY APPLICABLE TO PAID LICENSES DOES NOT APPLY TO TRIAL OR PROMOTIONAL LICENSES. ITERNAL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO TRIAL AND PROMOTIONAL LICENSES.
5.2 Outside Scope
Any warranty that might otherwise be implied does not apply if the Software (a) has been altered, except by Iternal; (b) has been used in breach of this Trial EULA; or (c) has been damaged by improper environment or by misuse, accident, or unauthorized modification.
5.3 Disclaimer of Other Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITERNAL AND ITS AFFILIATES PROVIDE THE SOFTWARE ON AN "AS IS" BASIS AND DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
§6 — Limitation of Liability
6.1 Explicit $0 Cap
FOR TRIAL AND PROMOTIONAL LICENSES WHERE NO LICENSE FEE HAS BEEN PAID, ITERNAL'S TOTAL AGGREGATE LIABILITY TO YOU UNDER THIS TRIAL EULA, UNDER ANY THEORY OF RECOVERY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), SHALL BE ZERO DOLLARS ($0.00). YOU ACKNOWLEDGE AND AGREE THAT THE FREE-OF-CHARGE NATURE OF THE TRIAL LICENSE CONSTITUTES ADEQUATE CONSIDERATION FOR THIS LIMITATION AND THAT THIS LIMITATION IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.
6.2 Exclusion of Certain Damages
EXCEPT TO THE EXTENT PROHIBITED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, OR LOST DATA) ARISING OUT OF OR RELATED TO THIS TRIAL EULA, UNDER ANY THEORY OF RECOVERY, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR ITERNAL WAS ADVISED OF THEIR POSSIBILITY.
6.3 Offer Liability
All Offers (as defined in §1) are provided free of charge, AS IS, with no warranty and no liability. Iternal's total aggregate liability for any claim arising from or related to any Offer shall be ZERO DOLLARS ($0.00). The sole remedy for any dissatisfaction with an Offer is to cease use of that Offer.
6.4 Remedy for Trial
For trial licenses, no refund is available, as no fees were paid. Your sole remedy for any failure of the Software during the Trial Period is cessation of use.
§7 — Term and Termination
7.1 Trial Term
This Trial EULA commences upon Your first installation or use of the Software and automatically terminates, without notice, at the expiration of the Trial Period. No further action by Iternal is required to effect termination at Trial Period end.
7.2 Early Termination by Iternal
Iternal may terminate this Trial EULA immediately and without prior notice if You: (a) materially breach any use restriction in §2; (b) attempt to circumvent the Trial Period clock or any license-enforcement mechanism; (c) make the Software available to unauthorized third parties; or (d) use the Software in violation of applicable law.
7.3 Effect of Termination
Upon any termination or expiry of this Trial EULA: (a) all rights and licenses granted herein terminate immediately; (b) You must cease all use of the Software; and (c) Sections §4 (Proprietary Rights and Confidentiality), §5 (Warranty Disclaimer), §6 (Limitation of Liability), §7.3 (Effect of Termination), and §8 (General Provisions) survive termination.
§8 — General Provisions (Standalone — No MRA Dependency)
8.1 Governing Law and Jurisdiction
This Trial EULA is governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this Trial EULA shall be resolved exclusively in the state or federal courts located in Delaware. YOU WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE UNDER THIS TRIAL EULA.
8.2 Entire Agreement
This Trial EULA, together with the Privacy and Data Sharing Addendum incorporated by reference in §2.10.5 and the Iternal Offer Terms and Conditions incorporated by reference for all Offers, constitutes the entire agreement between You and Iternal with respect to the trial Software and supersedes all prior agreements, representations, and understandings, whether written or oral, regarding the trial Software.
8.3 Assignment
You may not assign or delegate this Trial EULA in whole or in part without the prior written consent of Iternal. Any unauthorized assignment shall be void.
8.4 Export Control
The Software is subject to United States export-control laws, including the Export Administration Regulations (EAR) and applicable economic-sanctions laws administered by the U.S. Office of Foreign Assets Control (OFAC). You represent and agree that: (a) You are not located in, and are not a national or resident of, any embargoed country, and are not on any U.S. government denied-party, debarred, or sanctioned-party list; (b) You will not export, re-export, or transfer the Software to any embargoed country or denied party; and (c) You will comply with all applicable export-control and sanctions requirements.
8.5 Severability
If any provision of this Trial EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
8.6 Waiver
No waiver by either party of any breach of this Trial EULA shall be deemed to be a waiver of any preceding or succeeding breach.
8.7 Modifications
Iternal may modify this Trial EULA by providing notice via in-app notification or by email to the address You provided at activation. Your continued use of the Software after the effective date of any modification constitutes acceptance of the modified terms.
8.8 Click-Wrap Binding
Acceptance of this Trial EULA is effected by: (a) clicking "I Agree" on the Iternal download page; (b) downloading the Software installer; or (c) installing or using the Software. Any of these actions constitutes Your binding acceptance of this Trial EULA.
§9 — Acknowledgment
BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING ANY ITERNAL TRIAL OR PROMOTIONAL SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS TRIAL EULA AND THE PRIVACY AND DATA SHARING ADDENDUM, AND YOU AGREE TO BE BOUND BY ALL SUCH TERMS.
§10 — Trial-Specific Edge Cases (Interpretive Guidance)
The following interpretive notes clarify how this Trial EULA applies in specific situations. They do not create additional obligations.
